Job Description: We are seeking an experienced Mergers & Acquisitions (M&A) Lawyer with a strong foundation in Australian corporate and transactional law. The ideal candidate will have demonstrated success advising clients on high-value transactions and navigating the complexities of due diligence, deal structuring, negotiations, and post-merger integration. Prior experience in cross-border transactions or working within outsourced legal teams will be highly regarded.
Responsibilities:
* Advise clients on M&A transactions including structuring, due diligence, contract drafting, negotiations, and regulatory compliance.
* Draft and review transactional documents such as share purchase agreements, asset purchase agreements, shareholder agreements, and NDAs.
* Conduct and coordinate legal due diligence processes, identifying legal risks and advising on mitigation strategies.
* Support clients through all phases of M&A, including post-merger integration.
* Liaise with tax, financial, and operational consultants to ensure smooth transaction execution.
* Stay informed on changes in Australian corporate law, particularly those affecting M&A activity.
* Collaborate with internal and client-side legal and corporate teams across time zones.
Requirements
* Undergraduate degree in Law and qualification to practice law is mandatory; Australian legal education or direct experience working with Australian M&A matters is strongly preferred.
* A minimum of 5 years of hands-on experience with mergers, acquisitions, joint ventures, and related corporate transactions.
* Expertise in Australian corporate law, M&A processes, and regulatory requirements.
* Excellent drafting, negotiation, and analytical skills.
* Strong communication and project management abilities, especially in virtual and cross-functional environments.
* Prior experience in cross-border M&A or remote legal support settings is a plus.
